Affiliate Agreement As used in this Agreement “program” refers to the InfoProfitStream affiliate program. This affiliate agreement describes the terms and conditions that apply for participation in the program and is a binding, legal contract between an affiliate and our program. Must be 18: All affiliates must be 18 years of age or older. If you are under 18 years of age you are not permitted to be an affiliate. Receiving e-mail: Affiliate agrees to receive e-mail from the program, including but not limited to, sales reports, training, promotional resources, newsletters and other correspondence. Disparagement: Affiliate agrees not to disparage the program, the program products, services or other program affiliates in any manner. Affiliate understands that disparagement may result in the immediate suspension or termination of affiliate account with a cancellation of any pending commissions. Commission: Commissions will be paid by Clickbank less the charges outlined by ClickBank in their agreement. The program reserves the right to change the price of the program's products and commission percentages for products without notice. Commissions are based on the percentage of sale in effect at the time of sale. The affiliate program is administered through Clickbank.com pursuant to their policies at Clickbank.com and http://www.clickbank.com/paychecks.html as well as this agreement. Program liability: The program shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even where the program has been advised of the possibility of such damages. The program's total liability arising from this agreement or program shall not exceed the total commissions paid or payable by the program. Refunds and cancellations: If a customer, after buying a product, demands a refund, the commission from this product will be deducted from the total amount of earned commissions. All affiliate payments will be made in U.S. dollars. If a sale is canceled or refunded, any paid commission will be deducted from a subsequent payment. Affiliate commissions will not be paid based upon amounts that are attributable to credit card fraud, credits given to customers, bad debt right-off and returned goods. The program reserves the right to deduct in subsequent months, any commission paid for a product or service that is subsequently returned or refunded, or for any reason where the previous monthly commission was overpaid or later subject to reduction. Tracking of sales: Clickbank is solely responsible for the tracking of traffic and sales that are generated through affiliate links. Affiliate is solely responsible for ensuring that their affiliate link is set up properly to have sales tracked and recorded to qualify for commissions. The program is not responsible for the failure to assign any sale or commissions to affiliate if the same results from the improper formatting of any affiliate links. The program will only pay commissions on sales that are tracked through our tracking system and indicate affiliate as the source of the visit to the program web site. Affiliate has no right to commissions if a buyer later returns to the program site through another affiliate link or source and makes a purchase. You have no right to commissions based upon subsequent sales, even where the customer first arrived at the program site through your affiliate link. Commissions will only be paid when the buyer makes a purchase on the same visit using your affiliate link. Customer Privacy: To protect customer privacy, under the program's privacy policy, if deemed necessary the program reserves the right to withhold identifying customer contact information from affiliate. The program has no obligation to provide affiliate with any specific information for any customer, regardless of whether said customer arrived at the program web site through an affiliate link. Spamming is not permitted: If an affiliate promotes the program products via unsolicited mail in any shape or form or through a SPAM oriented website, their account will be immediately terminated as soon as the violation is verified, with a cancellation of any pending monies or commissions owed. The program considers ANY type of advertisement about the program, the program products or services, posted to a newsgroup or chat room, in violation of their posting rules, to be spam. Limited License: We grant you a nonexclusive, revocable right to use the program's images and text that we may provide to you solely for the purpose of identifying your site as our affiliate and to assist you in generating sales. You must have express permission to use another party’s copyrighted material. Pricing: The price for the products sold under this program is determined exclusively by the program. We will do our best to inform our affiliates of any planned price changes, so they can present accurate information to their visitors. In case of any price discrepancies, the price charged to the customer will always be the price that is listed on the program site. Website service interruptions: The program will do it’s best to ensure that its website is fully operational. In case of temporary website service issues, affiliate will not hold the program liable for any consequences of such interruptions. Affiliate Responsibility: Affiliate is solely and fully responsible for any and all costs and expenses affiliate incurs in the marketing of the program, the program products and services, and affiliate agrees to hold the program harmless from same. Term of the agreement: You are eligible to receive commission payments on orders that are placed during the term of this agreement. This term will begin when you sign up for our affiliate program and will end when terminated by either party. Commissions earned through the date of termination will remain payable only if the customer does not cancel the order or receive a refund. Modification: We may modify any of the terms and conditions contained in this agreement, at any time and at our sole discretion, by posting a change notice or a new agreement on our site. All such modifications will take place immediately upon their posting on our site. Relationships of parties: Affiliate and the program are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise or sales representative relationship between the parties. Affiliate is not permitted to represent himself / herself as an employee of the program. Cancellation of this agreement: Either the program or the affiliate, acting in their sole discretion, may choose to cancel this agreement at any time. Affiliates by removing their affiliates links, and the program by written notice of cancellation to the affiliate. Disclaimers: We make no express or implied warranties or representations with respect to the program or any products sold through the program including, without limitation, any implied warranty of merchantability, fitness for a particular purpose or non-infringement or any implied warranty arising out of course of performance, dealing or trade usage. Limitation of liability: We will not be liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program, even if we have been advised of the possibility of such damages. Further, our total liability arising under or with respect to this agreement and the program shall in no event exceed the total referral fees paid or payable to you under this agreement. Affiliate represents and warrants to the program, that affiliate has read and understands the program policies that are set forth on our web site and agree to the terms set forth therein. In the event that any provision of this agreement is held to be invalid or unenforceable, said provision shall be reformed only to the extent necessary to make it enforceable, and the balance of the agreement will remain in full force and effect. The program location is Scottsdale, Arizona and as an affiliate you agree that this offering is made from the the program's location and shall be governed by the laws of the state where the program is located, in the U.S.A.. The program reserves all rights not expressly granted here.
